Marguerite Lombardo assists nonprofit organizations, educational institutions, and other public and mission-driven entities with their tax, corporate, and transactional needs.

Marguerite brings deep tax and transactional expertise from over two decades of experience working with investment fund sponsors, most recently as a tax partner at an international law firm. In that role, Marguerite advised fund sponsors on the U.S. federal income tax aspects of forming and operating domestic and international private investment funds. She has handled matters related to complex fund structuring, tax issues relevant to tax-exempt organizations, non-U.S. and other investors, and internal sponsor structuring, and drafted and negotiated transaction agreements for closings of numerous investment funds.

Marguerite’s experience also includes guiding organizations through the process of obtaining and maintaining tax-exempt status under Section 501(c)(3), including advising on permissible activities, private benefit and inurement restrictions, unrelated business taxable income, and the IRS exemption application process.

Marguerite is admitted to practice in Massachusetts. She earned her B.A. and M.S. from the University of Massachusetts and received her J.D. from Harvard Law School.
