Perspective Through Experience
We have served in multiple roles in bond transactions — as borrower’s counsel, co-bond counsel, underwriter’s counsel, special issuer’s counsel, special disclosure counsel, special due diligence counsel, letter of credit bank counsel, and bond purchaser counsel. Through this varied experience, we have gained unique perspective on the issues arising in bond closings, and are able to be nimble in addressing them.

Breadth of Transactions
We have closed individual and pooled bond financings, private placements and public offerings, and have represented clients in credit enhancements such as letters of credit, and in both bond insured and FHA insured issuances.

Representation of Health Care Providers, Schools and Other 501(c)(3) Organizations
We represent healthcare facilities, schools, universities and other 501(c)(3) organizations in tax-exempt bond financing transactions.

Charter School and Other Governmental Entity Expertise
We have a substantial charter school practice, and we regularly represent charter schools in tax-exempt bond financings for the acquisition, construction, and renovation of school facilities.

Representative Transactions

  • Bond Purchaser: We represented an area bank as bond purchaser of bonds issued by MassDevelopment for the financing of the acquisition and historic rehabilitation of a 128-unit single room occupancy development in Cambridge, Massachusetts.

Borrower’s Counsel: We served as borrower’s counsel in a series of transactions which included two private placements, two public offerings, and a New Markets Tax Credit financing, which enabled a local hospital to develop a new surgical center and make other capital repairs and improvements.
